Terms of Sale

These terms apply to every order placed with Jubilee Cell LLC. Placing an order means you accept them. They apply instead of any terms on your own purchase order, unless we have agreed otherwise in writing and signed it.

1. Trade only

We supply businesses buying for resale or business use. You confirm you are acting in the course of business, not as a consumer, and that the information in your account application is accurate. We may verify your EIN, resale certificate and trading status at any time, and may suspend an account where we cannot.

2. Orders

An order is an offer to buy. A contract forms only when we confirm dispatch — not when you place the order and not when payment is taken. We may decline any order, including for stock, credit or verification reasons, and will refund any payment in full if we do.

There is no fixed minimum order value; it is agreed with your account manager. Some products carry a minimum quantity or must be bought in case multiples; where they do, it is shown on the product.

3. Prices

Prices are those shown in your account at the time you order, exclusive of tax and delivery unless stated. Your tier reflects your trading volume and is reviewed periodically as your trading volume changes. We may change list prices at any time, but a change never affects an order we have already confirmed.

Sales tax is applied according to your delivery destination and the exemption certificates you have given us. Keeping those current is your responsibility.

Where a brand operates minimum advertised pricing, we pass those requirements on to you as a condition of supply. Your account manager will confirm which brands are affected.

4. Payment

Payment terms are agreed in writing with your account manager when your account is opened and depend on order volume and trading history. Unless we have agreed credit terms with you, payment is due before dispatch. Where credit terms apply, invoices are payable by the date stated on the invoice.

We may withhold dispatch on any account with an overdue balance.

5. Delivery

Orders confirmed before 3pm ET on a working day are dispatched the same day. Delivery dates are estimates and are not guaranteed. We are not liable for delay caused by a carrier or by anything outside our reasonable control.

Check goods on arrival. Report shortages or visible damage within one working day of delivery, with photographs, or we may not be able to claim against the carrier.

6. Title and risk

Risk passes to you on delivery. Title does not pass until we have received payment in full, including for any other order then outstanding. Until it does, you hold the goods as bailee, must keep them separately identifiable and insured, and we may recover them.

7. Returns

Faulty goods may be returned within three days of delivery. Raise an RMA from your account before returning anything — unauthorised returns may be refused. Credit is issued within one working day of the goods reaching us and passing inspection.

Unwanted or over-ordered stock is considered case by case. Contact your account manager before returning anything — we cannot guarantee credit on stock we did not agree to take back, and goods must be unused and in their original sealed packaging.

We cannot accept returns of goods that have been used, fitted, or had their sealed packaging opened, except where they are faulty.

8. Warranties

Branded goods carry the manufacturer’s warranty, which we pass through. Aftermarket repair parts carry our own two-month warranty against defects, and their grade is stated on every listing. Warranty does not cover damage from misuse, incorrect fitting, or normal wear.

9. Liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss, and our total liability for any order is limited to the price paid for that order.

10. Intellectual property

Brand names and logos on this site belong to their owners. Nothing here gives you any right in them beyond reselling the goods you buy from us in their original packaging.

11. Termination

Either of us may close the account at any time by notice. We may suspend or close it immediately for non-payment, for a breach of these terms, or where verification fails. Closing an account does not affect orders already confirmed or sums already owed.

12. Governing law

These terms are governed by the laws of the State of Georgia, and the courts of the State of Georgia have exclusive jurisdiction.
